Registered Agents and Foreign Corporations


  Corporations and Limited Liability Companies (LLCs) are considered domestic in their state of formation. In all other states, they are considered a foreign entity. When applying for licensing in foreign states, your company is required to qualify as a foreign (out of state) corporation or LLC.

In most circumstances, your company will be required to have a "registered agent" in each state. A registered agent is a person or company, other than your own company, that has a physical address in the state you are applying to transact business in. The registered agent's duties include forwarding all tax and legal information that is sent from the state departments. Registered agent companies charge, will typically charge around $100 to $180 per year for this service. AM Licensing's registered agent service is only $100 per year for each state.
